ASUAG and SSIH (Omega) merged in 1983. It started years before when the R&D departments of both companies merged, but it became a full merger in '83. The structure was that of a holding company. In 1985 the holding company was taken over and renamed SMH, and in 1998 it was again renamed as The Swatch Group. It's a convoluted history, but the short answer is that the owner of Omega lost their independence due to financial difficulties in 1983. Omega was never a stand-alone company.
